Application Terms

These application terms ("Terms") govern the process by which sports teams or organizations may apply to be selected for the Ulta Beauty Roster for Change Grant (the "Ulta Beauty Roster for Change Grant" or the "Grant"). By submitting an Application, you (the "Applicant") agree to be bound by these Terms and the decisions of Ulta Beauty, Inc. ("Ulta") and its designees in all respects relating to the application process and the Ulta Beauty Roster for Change Grant. Ulta Beauty reserves the right to amend or modify these terms at any time.

Participation

Applicants must be a sports team or organization which (i) serves girls ages 12 to 18, (ii) is recognized by the IRS as a tax-exempt public charity under section 501(c)(3) or as unit of government under Section 170(c)(1), and (iii) is based in the United States. Application by current Ulta employee(s) must have passed any probation period and be in good standing with Ulta at the time of submission. Ulta employees who are client or brand facing or who could impact selection are not eligible to apply for the Ulta Beauty Roster for Change Grant.

Use of Funds; Return of Funds; Application

Applicants must have a clear goal for how they will utilize the grant funding, as well as a general timeline and understanding of how to measure success. Funds may be used for participation fees, equipment, team transportation, facilities upgrades, amenities in locker rooms. Selected applicants must sign a grant agreement and agree to use the grant funding toward the activities as described in the Applicant's Application (the "Purpose"). Selected applicants agree to return any grant funds not expended for the Purpose. A video submission is required with each Application.

Grants must be used for the project described in the Application. Grant funds may not be used:

- To influence the outcome of any specific public election or to carry on, directly or indirectly, any voter registration drive (within the meaning of United States Internal Revenue Code ("Code") section 4945(d)(2));

- To carry on propaganda or otherwise to attempt to influence legislation within the meaning of Code Section 4945(d)(1);

- To distribute funds to any organization not related to the Application;

- To distribute, transfer, or otherwise pay funds, directly or indirectly, to any organization, entity, or person that is organized under the laws of, headquartered or with a primary place of business in, or who resides in or is a citizen of, countries that are prohibited by law, regulation (including United States or other applicable export laws and regulations), treaty or administrative act from entering into trade relations (including export of technology) with the United States or its citizens;

- To distribute, transfer, or otherwise pay funds, directly or indirectly, to any organization, entity, or person that is subject to sanctions, or in breach of any applicable anti-corruption or other laws or requirements;

- To fund political organizations or political action committees.

How to Apply

Applications can be submitted from 12pm Eastern Time on March 3, 2026 and shall close at 11:59pm Eastern Time on March 31, 2026 by following the directions provided to complete and submit the application ("Application") at ubroster.com. Applications are limited to one application per team or organization. Ulta and its designees have full discretion as to the number of applicants they select and reserves the right to not select any applicants through this application process.

Application Screening and Selection

Applications will be reviewed and scored by a Grant Review Committee selected by Ulta Beauty using objective criteria including but not limited to the (1) the feasibility of the proposed project, (2) the potential impact on improving participation by girls in sports and (3) the financial need of Applicant and the families represented by the Applicant. Potential Ulta Beauty Roster for Change Grant recipients, if any, will be contacted using the email address provided as part of the Application. By submitting this Application, each Applicant agrees that Ulta and/or its designees may contact an Applicant for any reason, including for marketing and promotional purposes. Only applicants that have been screened and selected will be contacted. Successful applicants will be required to execute a Grant Agreement provided by Ulta and/or its designees prior to receipt of the grant funding. Ulta Beauty is not responsible for e-mail, technical difficulties, or other communication problems of any kind. If, despite reasonable efforts, a potential successful applicant does not respond within 10 days of the first notification attempt (or a shorter time as exigencies may require), or if the potential grant award notification is returned as unclaimed or undeliverable to such potential successful applicant, such potential successful applicant will forfeit the Grant, and an alternate applicant may be selected. If any potential successful applicant is found to be ineligible or has not complied with these terms and conditions or declines the applicable Grant for any reason, such potential successful applicant will be disqualified, and an alternate applicant may be selected. Notification and response windows are subject to adjustment in Ulta Beauty's discretion, including to comply with legal or operational exigencies.

Privacy

All information provided in connection with the Application and/or the Ulta Beauty Roster for Change Grant shall be subject to both Ulta's Privacy Policy, available at https://www.ulta.com/company/privacy.

Intellectual Property

By submitting an Application, you agree that any content created or provided to Ulta and/or its designees via the Application or in connection with the Ulta Beauty Roster for Change Grant including but not limited to Instagram, TikTok, YouTube and Podcast content may be used by Ulta and/or its designees in any manner and in the sole discretion of Ulta and/or its designees (the "Application Content").

By submitting an Application, Applicant agrees and hereby grants to Ulta and its designees, successors, licensees and assigns a perpetual, irrevocable, assignable, royalty-free, fully paid-up license to reproduce, distribute, create derivative works of, edit, alter, display, exhibit, combine with other materials, exploit, and otherwise use the Application Content in any manner and in any and all media for any purpose whatsoever, including, without limitation for any commercial purpose and without compensation and Applicant agrees to waive any and all moral rights in the Application Content. Applicant represents and warrants that Applicant has written consent from a parent or legal guardian to use the name, image, and/or likeness of any minors who appear in the Application Content. To the extent minors appear in the Application Content, a written waiver from a parent or legal guardian of each such minor appearing in the Application Content must be provided to Ulta Beauty with the Application.

All intellectual property rights in Ulta Beauty Roster together with any Ulta materials provided to you in connection with the Ulta Beauty Roster for Change Grant and/or Ulta Beauty Roster are owned by Ulta (the "Ulta Beauty Roster Materials"). Ulta grants each successful applicant a limited license to use the Ulta Beauty Roster Materials solely in connection with promoting the applicant's participation in the Ulta Beauty Roster for Change Grant. The Ulta Beauty Roster Materials should not be used for any other purpose.

Representations and Warranties

By submitting an Application, Applicant represents and warrants that:

- any content on the internet or on any social media accounts owned or controlled by Applicant used in conjunction with the Application and/or Ulta Beauty Roster for Change Grant is not false, inaccurate, misleading or fraudulent,

- it shall comply with all applicable laws and regulations and where required shall disclose the connection to the Application and/or Ulta Beauty Roster for Change Grant;

- it has the corporate, statutory, or other power and authority to complete this Application on behalf and to perform its obligations hereunder;

- the person who submits the Application on its behalf is at least 18 years of age or older and has the necessary authority to submit on behalf of the Applicant;

- neither the execution and delivery of this Application nor the performance of its obligations if awarded a grant hereunder will constitute a violation of, a default under, or conflict with any term of any governance documents or other agreements to which it is bound.

- the Application Content does not and will not violate or infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party;

- the Applicant is not the not the subject of any actual or threatened litigation or claim.

Indemnification

THE ULTA BEAUTY ROSTER FOR CHANGE GRANT IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE, PROVINCIAL, TERRITORIAL AND LOCAL LAWS. BY SUBMITTING AN APPLICATION, APPLICANTS AGREE TO INDEMNIFY AND HOLD HARMLESS, ULTA AND ITS DESIGNEES, THEIR PARENTS, AFFILIATES, SUBSIDIARIES THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES FROM ANY AND ALL LIABILITY, LOSSES, AND DAMAGES OF ANY KIND ARISING FROM THE APPLICATION PROCESS, THE APPLICATION CONTENT, THE APPLICANT'S PARTICIPATION IN CONNECTION WITH THE ULTA BEAUTY ROSTER FOR CHANGE GRANT, ANY BREACH OF THESE TERMS BY APPLICANT AND ANY AND ALL LIABILITY, LOSSES, DAMAGES OF ANY KIND ARISING FROM THE USE BY ULTA AND ITS DESIGNEES OF APPLICANTS' NAMES, BIOGRAPHICAL INFORMATION, CITIES AND STATES, PROVINCES OR TERRITORIES OF RESIDENCE, PHOTOGRAPHS IMAGES, OR LIKENESSES PROVIDED BY APPLICANT, FOR USE IN ADVERTISING, PUBLICITY, PROMOTIONAL AND/OR FOR ANY COMMERCIAL PURPOSES IN ANY AND ON ALL MEDIA.

Miscellaneous

Ulta and/or its designees reserve the right at their sole discretion to suspend, modify, or terminate the Ulta Beauty Roster for Change Grant or any individual's participation in the application process and/or Ulta Beauty Roster for Change Grant at any time and for any reason.

Applications will be deemed to have been logged at the time that it is received by Ulta Beauty. You agree that Ulta Beauty is not responsible for any Application not being received due to technical reasons or otherwise. For the avoidance of doubt, Ulta Beauty will not be responsible or liable for late, lost, nonconforming, damaged, misdirected, mutilated, illegible, corrupted, or incomplete Application, or for Applications not received due to network, server, or platform issues.

Ulta Beauty may, in its absolute discretion, terminate or suspend any organization's participation at any time and without notice if it believes that such organization and/or its representatives and participants in the Application:

- have breached these Terms and Conditions and any other applicable terms and conditions;

- have acted in a way which is unlawful, or which may create liability for Ulta Beauty;

- has provided information that Ulta Beauty is unable to verify;

- have acted or represented such organization in any way that Ulta Beauty deems that your termination is necessary.
